User Agreement

Welcome to the MAP for Workplace™ portion of the MAP® web site (the Website). The MAP for Workplace online application and solution and related services (including and any content provided through the Website) (collectively, the Solution or MAP for Workplace) are provided by Freedom’s Way Pty Ltd (MAP) and are designed to increase the wellbeing of people within a group of any size, provide insight into the culture and dynamics of the group and establish a shared vision between the group as a whole and the individuals within it.  MAP for Workplace is also designed to make groups more cohesive and connected, and actively encourages them to make well-being and optimal performance a high priority.

MAP for Workplace may be licensed for your personal and internal use, but only on the condition that you agree to these Terms and Conditions of Use (this Agreement).  By clicking the box below, or by accessing or using MAP for Workplace, or by signing up for an Account to use MAP for Workplace, you agree to be bound by this Agreement. 

If you are an authorized officer or other person who desires to obtain a license to use MAP for Workplace on behalf of your team or organization, the term you in this Agreement includes both you as an individual as well as such team or organization.  In addition, you represent and warrant that you have the authority to bind such team or organization, and that such team or organization has authorized you to accept this Agreement on its behalf.  Upon our request, you agree to sign a non-electronic version of this Agreement.

Each individual within your organization who will be a user of MAP for Workplace will also be required to accept and agree to be bound by this Agreement. To the extent local laws or the policies and procedures of your organization require any additional consent(s) be obtained from your personnel who will be using MAP for Workplace or submitting personal or other data for use with MAP for Workplace, you will be responsible for obtaining such consents.  Each time you login to use MAP for Workplace, you agree to be bound by the terms of this Agreement, as amended from time to time by MAP.   

THIS AGREEMENT MAY BE MODIFIED BY MAP.  Please review this Agreement periodically as we may update it from time to time. You can see the latest date of update by looking at the bottom of this Agreement. Your continued use of MAP for Workplace following any such modifications or changes constitutes your acceptance of such changes.

  1. MAP for Workplace Account. When you use MAP for Workplace, you are responsible for maintaining the confidentiality of your account and any passwords and for restricting access to your personnel utilizing computers under your control, and you agree to be solely responsible for all activities that occur under your account or passwords.  You agree to notify MAP immediately of any breach of security or unauthorized use of your account or passwords of which you are aware. 

  2. Your Privacy is Paramount to Us: Personally Identifiable Information; Monitoring; Privacy Issues.

  • ( a ) You may be required to provide to MAP, as a condition for internal use of MAP for Workplace, certain personally identifiable information concerning you (Personal Information).  Personal Information is protected in accordance with the MAP’s Privacy Policy located here. In addition, MAP for Workplace uses encryption technology and is built within a Microsoft asp.net framework.
  • ( b ) In addition, it is MAP’s Policy not to release your data or any of the individual data of employees in the organization (or the data of the organization to the employees) under any circumstances. MAP will aggregate individual results into collective reports which do not disclose Personal Information or individual results to the team or organization.  This assertive approach to privacy is designed to protect all users and is necessary for establishing personal and organizational wellbeing. This approach to privacy also ensures that questions are answered honestly and that users embrace the process.  If you have any questions please visit MAP Privacy, contact your administrator or email us at myprivacy[at]mapwellbeing.com.
  • ( c )  As stated above, for MAP for Workplace to operate effectively we keep every piece of user data strictly anonymous.  At the same time, MAP for Workplace uses the sum total of the data of all users in order to help both individuals and the organization learn about wellbeing, vision and alignment and how to act on those insights. To make this more useful and interesting, we divide this sum total into 4 sections called quadrants. Quadrants allow the company or team to be seen from four different perspectives and provide insight into the invisible dynamics which drive it.  Quadrants are preset to sales, middle management, upper management and stakeholders.
  1. No Medical Advice.  The reports, documents, content, text, graphics, sound, images, information, data and documentation provided to you through MAP for Workplace (collectively, Content) is designed to offer a practical solution for improving organizational wellbeing and connectedness.  However, the Content DOES NOT constitute medical advice and is not intended to be a substitute for professional medical advice, diagnosis or treatment.  MAP does not recommend or endorse any specific tests, opinions or other information that may be mentioned or linked to MAP for Workplace.

  2. License Grant. Upon your changing of your password and acknowledgement of your agreement to be bound by this Agreement, and subject to the terms of this Agreement, you are granted a revocable, limited, non-exclusive right to access MAP for Workplace solely for your internal use, which includes use of MAP for Workplace for your personal use, or for use within your team or organization for the purpose of improving employee wellbeing, shared-vision, connectedness, and culture as outlined in  http://www.mapwellbeing.com/Holo/Pages/VPcontent.aspx.  All rights (including all intellectual property rights) in and to MAP for Workplace , other than the limited right to access and use MAP for Workplace in accordance with this Section 2, are hereby reserved exclusively to MAP.

  3. License Restrictions. You may not: ( a ) use, copy, modify, sell, lease, rent, distribute, transfer, sublicense, distribute or disclose any part of MAP for Workplace except as provided in this Agreement, or permit use of MAP for Workplace by any third party, ( b ) use MAP for Workplace to provide a service bureau or similar service, ( c ) reverse engineer, decompile, or disassemble MAP for Workplace, or any portion thereof; ( d ) export any portion of MAP for Workplace in violation of applicable export control laws; or ( e ) share your Account with any third party.

  4. Indemnification. You agree to indemnify, defend and hold MAP harmless from and against all claims, losses, liabilities, damages, expenses, and costs (including, without limitation, reasonable fees for attorneys and expert witnesses) which result from any breach or alleged breach of any of your covenants, representations, warranties or obligations herein.

  5. Feedback. We welcome and appreciate your feedback, analysis, suggestions and comments regarding MAP for Workplace (collectively, Feedback). You can enter feedback at anytime using the feedback link. YOU AGREE THAT MAP AND/OR ITS LICENSORS SHALL HAVE A PERPETUAL, WORD-WIDE, ROYALTY FREE AND IRREVOCABLE RIGHT AND LICENSE TO USE, MODIFY, AND OTHERWISE PUBLISH ALL OR ANY PORTION OF YOUR FEEDBACK IN ANY MANNER OR MEDIA NOW KNOWN OR HEREAFTER DEVISED WITHOUT ANY REMUNERATION, COMPENSATION OR CREDIT TO YOU.   

  6. Term of the Agreement.  Your use of MAP for Workplace may be terminated by MAP at any time, for any reason or for no reason, in MAP’s sole and absolute discretion, by providing notice to your team or organization and refunding to your team or organization a pro-rated portion of fees actually paid for credits, based upon your team and organization’s use of MAP for Workplace prior to such termination. You may, at any time and for any reason or for no reason, terminate your use of MAP for Workplace by providing notice to MAP.  Upon termination of this Agreement or your use of MAP for Workplace, all license rights granted hereunder shall terminate immediately.

  7. Confidentiality

  • ( a ) Confidential Information Defined. Confidential Information shall mean (a) any and all information relating to, contained in or relayed through MAP for Workplace and the web site, including, without limitation, information relating to (i) the performance, capabilities and contents of MAP for Workplace, (ii) your Feedback, and (iii) any other participant’s Feedback, and (b) all information relating to the future or proposed on-line applications and solution, services or business operations of MAP.  You shall use best endeavors to safeguard and prevent unauthorized use or disclosure of the Confidential Information. Your obligation to keep MAP for Workplace confidential will continue until MAP publicly distributes, or has otherwise disclosed to the public through no fault of yours, MAP for Workplace and any associated content.
  • ( b ) Confidentiality Obligation. You shall keep the Confidential Information in confidence and shall not publish, disclose, distribute, transmit, post or otherwise make available, directly or indirectly, any Confidential Information to any third party except as otherwise expressly set forth herein. However, you may disclose the Confidential Information in accordance with a judicial or governmental order; provided, however, that (a) you give MAP prompt written notice of such order such that MAP has an opportunity to seek a protective order or other appropriate remedy to such order, prior to disclosure and shall comply with any applicable protective order or equivalent, (b) you provide MAP with all reasonable assistance in opposing such required disclosure or seeking a protective order or confidential treatment for all or part of such Confidential Information, and (c) you disclose only such portion of the Confidential Information as is either permitted by MAP or required by the court, tribunal, governmental agency or other authority, subject to any protective order or confidential treatment obtained by MAP.
  • ( c ) Obligations Upon Termination.  At the request of MAP, you shall return to MAP any and all copies of the MAP Confidential Information, in any format, delivered to you for review.
  1. Injunctive Relief. You acknowledge and agree that a breach or threatened breach of Section 9 of this Agreement would cause irreparable injury, that money damages would be an inadequate remedy and that MAP shall be entitled to ex parte injunctive relief without bond, to restrain you from such breach or threatened breach. 

  2. No Warranty; No Liability For Damages.

  • ( a ) No Warranty. MAP FOR WORKPLACE IS PROVIDED FOR YOUR USE AS IS WITHOUT ANY EXPRESS OR IMPLIED WARRANTY OF ANY KIND INCLUDING WARRANTIES OF SATISFACTORY QUALITY, MERCHANTABILITY, NON-INFRINGEMENT, OR FITNESS FOR ANY PARTICULAR PURPOSE.  MAP DOES NOT GUARANTEE THAT YOUR ACCESS TO MAP FOR WORKPLACE WILL BE UN-INTERRUPTED OR ERROR FREE.
  • ( b ) No Liability For Damages. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MAP SHALL NOT BE LIABLE TO YOU OR ANYONE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL OR PUNITIVE DAMAGES FROM ANY CAUSES OF ACTION ARISING WITH RESPECT TO THIS AGREEMENT OR MAP FOR WORKPLACE PROVIDED HEREUNDER, WHETHER ARISING IN TORT (INCLUDING NEGLIGENCE), CONTRACT, STRICT LIABILITY OR OTHERWISE, WHETHER OR NOT MAP HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL MAP’S AGGREGATE LIABILITY TO YOU UNDER THIS AGREEMENT EXCEED U.S. $1,000.
  1. Miscellaneous.
  • ( a ) Survival. The provisions of Sections 2, 3, 6, 7, 9, 10 and 11 shall continue in full force and effect even after this Agreement or your use of MAP for Workplace has been terminated.
  • ( b ) Governing Law; Jurisdiction. The laws of Singapore, excluding its conflicts-of-law rules, govern this Agreement. You expressly agree that exclusive jurisdiction for any claim or dispute with MAP related to this Agreement, or your use of MAP for Workplace shall be in Singapore, and you further agree and expressly consent to the exercise of personal jurisdiction in the Singapore Courts in connection with any such claim or dispute.
  • ( c ) Severability.  If any provision of this Agreement is declared invalid by a court of competent jurisdiction, such provision shall be ineffective only to the extent of such invalidity so that the remainder of that provision and all remaining provisions of this Agreement shall be valid and enforceable to the fullest extent permitted by applicable law.
  • ( d ) Entire Agreement. This Agreement, together with the MAP Terms of Use, constitutes the entire agreement between us relating to your use of MAP for Workplace.
